Terms of Service

These terms govern the CIHAN AI DATA website, accounts, client portal, contributor workspace and the projects we run for clients.

CIHAN AI DATA is operated by Cihan Business Solution Limited (RC 711803) (“Cihan”, “we”). By using this website or any Cihan account surface, you agree to these terms. Where a signed agreement, statement of work (SOW) or contributor agreement exists, that document prevails over these terms for the matters it covers.

01Services and scope

These terms apply across five surfaces, each with its own expectations:

  • The public website and the information published on it.
  • Pilot and enterprise projects: annotation, data collection, human evaluation, dataset QA and benchmarking.
  • The client portal, where clients track requests, projects and deliverables.
  • The contributor network and workspace.
  • Research and benchmark materials, where access is granted.

02Accounts and eligibility

Accounts are for adults acting on their own behalf or with authority to act for an organisation. You are responsible for the accuracy of your details, for the security of your credentials and for activity under your account. We may refuse, suspend or close an account where information is false or the account is misused.

03Proposals, SOWs and commercial terms

Information on this website is indicative and is not a binding quote or commitment. Project scope, volumes, timelines, language coverage, quality standards, acceptance criteria, pricing and deliverables are confirmed separately in a proposal or SOW after review of complexity, data sensitivity, specialist availability and QA requirements.

04Client data and instructions

Clients must have the rights and authority to supply the datasets, materials and instructions they give us, and to authorise the processing described in the SOW. Clients must flag sensitive or regulated data in advance so it can be handled under appropriate controls. We may decline material we cannot lawfully or safely process.

05Data collection projects

Where we collect data for a client, collection follows the consent, sourcing and provenance rules approved for that project. Shortcuts are prohibited: no covert collection, no misrepresentation to participants, no acquisition of private data obtained unlawfully, and no fabricated provenance or consent records.

06Deliverables and intellectual property

To the extent agreed in the SOW and on payment, the client owns the project-specific deliverables and data produced for it. Cihan retains all pre-existing and background intellectual property, including MIF™, MIS™, the benchmark architecture, methodologies, software, templates, guidelines, calibration systems and reusable know-how, unless expressly assigned in writing.

07Benchmarks and research

Benchmark scores are specific to the benchmark, version and conditions that produced them and do not constitute a universal ranking of any model. Protected holdouts, gold labels and unreleased benchmark items may not be extracted, reconstructed, redistributed or used to train systems, and access granted for evaluation does not transfer rights in the benchmark.

08Contributor network

Members of the Cihan AI Data Network™ are network talent, not automatically employees. Acceptance into the network does not guarantee paid work or a minimum volume of assignments. Paid commercial tasks are governed by the applicable project and contributor terms, and voluntary research participation is identified as such before it begins.

09Acceptable use and prohibited projects

  • Unlawful surveillance, profiling or targeting of individuals or groups.
  • Unlawful discrimination, or work designed to enable it.
  • Exploitative labour arrangements or deceptive consent practices.
  • Scraping, probing or reverse engineering our systems or restricted materials.
  • Misuse, extraction or redistribution of benchmark or gold-label materials.
  • Uploading malware, or content the uploader has no right to supply.

10AI-assisted tooling and quality

Automated tooling may assist workflow routing, formatting, pre-labelling and quality monitoring. Deliverables remain subject to the QA standard defined in the SOW, and human reviewers remain accountable for sign-off. Annotation and evaluation involve judgement; outputs may contain residual uncertainty and disagreement, which we report rather than conceal.

11Payments, taxes and third parties

Fees, invoicing, currency, payment timing and taxes are set out in the applicable proposal or SOW. Amounts are exclusive of applicable taxes and withholdings unless stated. Third-party services used at a client’s request are subject to their own terms.

12Confidentiality

Each party protects the other’s confidential information, uses it only for the engagement, and discloses it only to personnel and contributors who need it and are bound by equivalent obligations. Contributors assigned to client work are NDA-bound.

13Security and availability

We apply role-based access, project segregation and reasonable technical and organisational measures. No system is perfectly secure, and the website and portals may be unavailable during maintenance or events beyond our control. Availability commitments apply only where stated in a signed agreement.

14Disclaimers and limitation of liability

Except as expressly stated in a signed agreement, the website and account surfaces are provided on an “as is” basis. To the maximum extent permitted by applicable law, neither party is liable for indirect or consequential loss, or for loss of profit, revenue or anticipated savings, and our total aggregate liability arising out of an engagement is limited to the fees paid for that engagement in the twelve months before the claim. Nothing limits liability that cannot be limited by law.

15Suspension and termination

We may suspend or terminate access for breach of these terms, unlawful use, non-payment or risk to our systems, contributors or clients. Projects terminate in accordance with the applicable SOW. Confidentiality, intellectual property, payment obligations accrued and liability provisions survive termination.

16Privacy

Our Privacy Policy and Responsible AI & Data commitments are incorporated into these terms by reference.

17Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. The parties will first attempt to resolve any dispute in good faith between senior representatives. Failing resolution, disputes are submitted to the courts of Nigeria, unless a signed agreement specifies arbitration or another forum. Mandatory local-law rights that apply to you are unaffected.
